Payment Gateway Service Agreement

Braintree processes customer data sent by the reseller to Braintree in order to obtain verification or authorization of the customer`s payment method in payment to the merchant for sales products or services. Payment services offered by Braintree, which allow the merchant to accept credit cards, debit cards and other payment methods on a customer website or mobile application. 7.2 Permitted Use. The Merchant acknowledges and agrees that the Account Update Service is provided exclusively for the purpose of updating the applicable card data, in order to allow the Merchant to accept transactions using the Payment Services through the Recurring Billing Service or in any other way. Reseller may not use the Account Updater Service for any other purpose, including, but not limited to, the use of any portion of the Account Updater Service data in connection with the development of another service or product. The Merchant shall pay, indemnify and maintain PayPal free from (i) all sales, use, excise, import or export duties, VAT or other similar taxes or charges and other taxes or charges that are not based on PayPal income and (ii) all State authorization duties, customs duties and other similar charges that may be levied PayPal with respect to this Agreement. Such taxes, fees and charges paid by the Merchant shall not be deemed to form part of, deduct or set-off any payments due under PayPal of this Agreement. If we are unable to obtain information satisfactory to us in order to verify your identity or to find that you are solvent, PayPal reserves the right to terminate this contract with immediate notice, to suspend access to braintree payment services and to refuse or terminate any payment from your customers. You represent and warrant PayPal that any transaction you process with Braintree Payment Services will be for the sole provision of goods or services in good faith (including utilities) to your customers.

To the extent PayPal receive transaction funds from your customers, you designate PayPal and PayPal agree to serve as the ordering officer to receive such payments from your customers on your behalf. You agree that in the event of PayPal who have received payment from a customer: (a) you are presumed to have received payment from that customer; (b) the customer`s obligation to you is fully complied with in connection with such payment; (c) any right you have for such payment against the customer is extinguished and (d) You are required to deliver the corresponding goods or services to the customer, whether PayPal acquirer orders you to make such payment to you or when. . . .
